Miami Subs Grill’s Franchise Program will provide training and support services at our Training Center in Fort Lauderdale, Florida. The training program is designed to cover all facets of operating a Miami Subs Grill franchise; focusing on store operations – both theoretical and practical.

Our support system includes assistance with site selection, architecture, product development, purchasing, inventory control, marketing, and ongoing operational support. Company History

• Originated and successfully developed in the 1980’s what is now known as the “Fast Casual” restaurant concept. Current corporate structure was formed in 1990.

• Has established itself with the dining public as a favorite fast casual destination consistently delivering fresh, higher quality, made to order food at fast food prices.

• Offers the convenience of a drive-thru and avoids the expense and delay associated with waiter/waitress service.

• Provides a wide variety of moderately priced, delicious menu choices including our signature Philly Cheesesteaks, Wings, freshly made Salads, flame broiled Chicken and Burgers, Hot and Cold Subs, Gyros, and Pita sandwiches.

FINANCIAL INFO

The Company currently offers multiple franchise opportunities.

For Single Unit Agreements, the requirements and terms are:
• A net worth of at least $350,000 with $150,000 of this minimum net worth in liquid assets.
• A one-time franchise fee of $30,000 per unit.
• A royalty fee to Miami Subs Franchising Corp. of 6% of monthly gross sales.
• A Payment to Miami Subs Franchising Corp. of 3% of monthly gross sales to the Advertising Fund

DEVELOPMENT

• Restaurants can be deployed in most MSAs (Metropolitan Statistical Areas) throughout the United States with most supporting multiple development.

• Stores can be sized and configured for free-standing units, inline locations (including malls), as well as gas station/convenience store add-ons.

• Marketing-oriented, standardized system includes proprietary features and sponsorship opportunities that will allow our select group of franchisees to take advantage of the growth opportunities in the industry.

• As Franchisor, Miami Subs provides:
-- Value-added Services (assistance with turn-key design and construction)
-- Special Products (software, interactive CD’s)
-- Foodstuffs
-- Licensed Products (clothing, merchandise)
-- Business Services (sponsorship, national/regional/local advertising)

• Centralized Services for franchisees will also include:

• Capability to open strongly in various markets around the country.

• Open to experienced management teams, backed by investment groups, who wish to develop single or multiple units.

• Operates seven days per week – year-round – from 10am until 11pm. Stores which serve breakfast may open at 6:30am. Some units, including those with delivery, may close at 3am. A plan to operate 24/7 is now in development.

Positioned as an alternative to the average casual theme restaurant or fine dining experience, Miami Subs Grill offers great food, service, pickup and drive-thru, covering the three main day parts, and appealing to both tourist and local populations across a wide demographic.

FRANCHISE SYSTEM

Miami Subs Grill Franchising Corp. (the franchisor) will grant an individual unit owner (a franchisee) the right to establish and operate a Miami Subs Grill and to market Miami Subs Grill products and services while using the company’s name, reputation, and marketing techniques.

Franchisee will be given access to a defined geographical area.

Franchisor will maintain control over the marketing methods employed.

The keys to our success are our trademarks, uniform symbols, equipment standards, and standardized services, foods, and products.

Franchisees are required to conduct every step of their operation in strict conformity with our Operations Manual. In return, the individual franchisee can share in and benefit from the goodwill built up by all the other outlets which bear our name.

Candidates for regional franchise operations will be existing franchisees and multi-unit operators looking to diversify their market mix while controlling management functions centrally.

Our franchisees own and operate the individual franchises and pay a franchise fee and ongoing royalties in exchange for the use of the business format, trademark(s), and support from Miami Subs Grill or its assigns (e.g., Area Developer, Area Representative).

Miami Subs Grill will be in direct contact with a single unit franchise owner and is responsible for providing assistance with respect to matters concerning the franchise, such as providing training and other services, as well as collecting royalties.

An “Area Developer” opens and operates multiple franchises on a pre-determined development schedule within a certain geographic area.

Miami Subs Grill performs the same functions for the Area Developer (in its capacity as a franchise owner) as with a single unit franchise owner, allowing the area developer to operate multiple units developed as part of the Miami Subs Grill system.

SUPPORT SERVICES

OPERATIONS

Miami Subs Grill provides initial guidance and training prior to opening, followed by complete operational support for each restaurant on an ongoing basis. The Area Manager dedicated to your region will provide ongoing operational guidance to your restaurant with the commitment and continuity you deserve.

Business Planning –Franchisees are provided with a Miami Subs Grill comprehensive business plan with sections developed specifically for their business including overall expansion strategy, internal organization, and performance and priorities direction that, among other things, can assist in attracting key employees.

Operations Support – Miami Subs Grill provides operations support for each restaurant by phone, the Internet, and personally through periodic visits by corporate representatives, as well as scheduled regional meetings, workshops, and seminars.

Training – Miami Subs Grill provides classroom training for restaurant management. Our comprehensive six-week training program provides both classroom instruction and hands-on kitchen experience. “Turnkey” training ensures that each restaurant will be up and running on opening day. An additional two weeks of training is provided on site.

MARKETING

Marketing Programs are designed to increase store traffic, create “top of mind” awareness, and build the Miami Subs Grill brand in your area. Each restaurant will be provided access to marketing support from pre-opening through operational stages. Assistance will be provided in the following areas:

• Soft and Grand Opening Assistance
• National and Regional Advertising

CUSTOMER SERVICE

Centralized customer support is provided to assist each restaurant to provide the highest possible guest service. The services include:
